1. Acceptance of These Terms

These Terms of Service ("Terms") form a binding agreement between you and Authentic Life LLC. By creating an account, installing our application, or otherwise using Klimt through any channel (together, the "Service"), you accept these Terms in full. If you do not accept them, do not use the Service.

2. Eligibility

The Service is available only to individuals who are at least 18 years old. By using the Service you represent that you are at least 18. We may terminate any account we reasonably believe belongs to a person under 18.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at nicktogle@me.com if you suspect unauthorized access. We may suspend or terminate any account where we detect suspicious activity or violations of these Terms.

4. What Klimt Is and Is Not

Klimt is an AI companion designed for reflection, continuity, and personal growth. Klimt is software. Klimt is not a therapist, a counselor, a doctor, a coach in the regulated sense, a crisis responder, or any kind of licensed professional. Klimt does not provide medical, mental health, legal, financial, or other professional advice, does not diagnose or treat any disease or condition, and is not a substitute for care from a qualified professional.

The information, reflections, and suggestions Klimt generates are produced by automated systems and may be inaccurate, incomplete, or inappropriate for your situation. You are responsible for how you use anything Klimt produces.

5. Safety and Crisis Situations

Klimt is not a crisis service, is not monitored in real time by clinicians, and is not designed to respond to emergencies. If you are in crisis or concerned about your immediate safety or the safety of others, stop using the Service and contact emergency services or a local crisis line. In the United States you can reach the 988 Suicide and Crisis Lifeline by calling or texting 988, and you can text HOME to 741741 to reach the Crisis Text Line. Outside the United States, use your local emergency number.

If Klimt detects content that suggests risk of harm to yourself or others, it may surface safety resources and may decline to continue a conversation until you acknowledge those resources. This feature is not a guarantee of detection and is not a substitute for calling emergency services.

6. Subscriptions and Payment

Some features of the Service require a paid subscription. Subscription terms, pricing, trial length if any, and renewal cadence are disclosed at the point of purchase.

If you purchase through the Apple App Store or Google Play Store, the applicable store's terms control billing, renewal, refunds, and cancellation, and you must manage your subscription inside that store. If you purchase directly from us, billing is processed by our payment processor, renewals occur automatically on the schedule disclosed at checkout, and you may cancel at any time from inside the Service. Cancellation stops future renewals but does not refund the current billing period unless required by law.

All fees are stated in United States dollars and are exclusive of any applicable taxes, which you are responsible for paying.

7. Acceptable Use

You agree not to use the Service in any way that is unlawful, harmful, fraudulent, deceptive, or that violates the rights of others. You will not use Klimt to plan or carry out harm to yourself or others, to generate content that is sexual in nature involving minors, to produce malware or facilitate attacks on systems or people, to harass, defame, or threaten another person, to impersonate another person, or to build or train a competing product. You will not attempt to reverse engineer, decompile, or disassemble the Service except to the extent the law allows, you will not introduce malware or harmful code, and you will not scrape content at scale. You will comply with all laws and regulations that apply to your use of the Service.

8. User Content and Klimt Output

"User Content" means any messages, audio, files, or other information you submit to Klimt. "Klimt Output" means the text, voice, or other content Klimt generates in response to your inputs. You retain ownership of your User Content. You grant Authentic Life a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, and transmit your User Content and the associated Klimt Output solely to operate and improve the Service for you, and to generate aggregated, de-identified analytics that cannot reasonably be linked back to you. We do not use your User Content or Klimt Output to train third-party AI models.

Klimt Output is generated by machine learning systems and may reflect biases, inaccuracies, or omissions. You are responsible for evaluating Klimt Output before relying on it. Subject to your compliance with these Terms, we assign to you our ownership rights, if any, in Klimt Output generated for your account, to the fullest extent transferable.

9. Intellectual Property

The Service, including its software, user interface, design, prompts, methodology, persona voices, and underlying systems, is owned by Authentic Life LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose, subject to these Terms. No other rights are granted by implication, estoppel, or otherwise.

"Klimt" and related logos are trademarks of Authentic Life LLC. You may not use our trademarks without our prior written consent.

10. Third-Party Services and Linked Products

The Service relies on third-party service providers, including cloud infrastructure, AI model providers, voice synthesis, avatar rendering, payment processors, and analytics. Those providers have their own terms and privacy practices. If you choose to link your Klimt account to a companion product such as NV or nudaLabs, your use of that product is governed by its own terms and privacy policy.

11. Feedback

If you send us ideas, suggestions, or feedback about the Service, you agree that we may use them without any obligation to you, and that the feedback is not confidential.

12. Termination

You may stop using the Service and delete your account at any time from inside the application or by emailing nicktogle@me.com. We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service to you would expose us to liability. On termination, the rights granted to you under these Terms cease, and sections that by their nature should survive (including Sections 8, 9, 13, 14, 15, and 16) will survive.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will meet your requirements, that Klimt Output will be accurate or appropriate, or that errors will be corrected. Some jurisdictions do not allow the exclusion of implied warranties, and in those jurisdictions some of the above exclusions may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by law, Authentic Life LLC and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service or any Klimt Output, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of one hundred United States dollars or the amount you paid to us for the Service in the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the limitation of incidental or consequential damages, and in those jurisdictions the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Authentic Life LLC and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your User Content, your reliance on Klimt Output, or your violation of these Terms or any applicable law.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict of laws rules. You and Authentic Life agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in the State of Arkansas, and you consent to the personal jurisdiction of those courts.

If you are a consumer located in a jurisdiction that grants you the right to bring claims in your local courts under its mandatory consumer protection laws, this section does not override that right.

17. Changes to These Terms

We may update these Terms from time to time. When we make a material change we will post the updated Terms inside the Service and update the Last Updated date. Your continued use of the Service after the change becomes effective constitutes your acceptance of the updated Terms. If you do not accept a change, stop using the Service and delete your account.

18. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Authentic Life LLC regarding the Service. If any provision is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will stay in full force. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
